When Is A Plumber Worth More Than A Violinist?

We spent a lot of money making a CD to promote our orchestra. Now the composer’s publisher wants mechanical royalties. I just don’t understand why I have to pay mechanical royalties for a CD I am not selling, just giving to donors. Doesn’t the Composer want people to listen to his music?

Does your orchestra sell tickets to its concerts? Why? Don’t you want people to come and listen to the music?

While everyone in the performing arts end of the entertainment industry appreciates the importance of music, not as many appreciate or understand its value. In fact, many don’t like discussing commercial or business concepts like “value” at all. However, an artist’s time and talent is the artist’s service. It’s no less of a commodity that any other service like a plumber or electrician. While many would argue, and I would agree, that an artist is worth even more, when a pipe once burst in my house in the middle of the night, I was far more relieved to see a plumber show up than a violinist!

Whether a musician’s performance is enjoyed live or on a recording, the musician needs to be paid for providing his or her talent. Musicians have bills to pay just like everyone else. For the same reason, when a composer’s composition is performed, either live or on a recording, he or she needs to be paid for providing his or her talent in creating the composition in the first place. While it’s true that some composers receive commissions to create a work, not all do, and a commission fee only pays for the creation of the work itself. Just like an author gets a royalty every time her book is sold and a playwright gets a royalty every time his play is produced, a composer gets a royalty every time her music is performed or a recording made of the performance. When a composition is performed, the performer must pay a performance royalty, most often by obtaining a performance license from ASCAP, BMI, or SESAC. When a composition is recorded, the performer must pay a “mechanical royalty” (an outdated term for a “recording royalty”) directly to the composer or the composer’s publisher. The mechanical royalty is based on the length of the composition and how many copies are made of the recording of the performance of the composition.

I appreciate your frustration in having to pay mechanical royalties for CDs that are given away, but that’s like saying that musicians should be paid less if a concert is free or only based on the number of tickets sold. Whether or not you choose to sell the recordings does not change the fact that you recorded a performance of the composer’s composition. Just because you want to purchase a television to donate to an orphanage doesn’t mean that Best Buy is going to let you walk out of the store with it for free.  While many artists do graciously give freely of their time and talents in promoting the performing arts, that decision is not yours to make for them. Largesse and munificence should be offered, never presumed. If yours is the first recording of this particular work and the composer is not already widely performed and listed to, I bet the composer would consider receiving a number of free CDs in lieu of mechanical royalties.

Pre-Nuptial Management Agreements

By Brian Taylor Goldstein, Esq. Dear Law and Disorder: I just received an email that an artist is leaving my roster for another manger, effective in two weeks. I’ve been working with this artist for over five years. We’ve never had a signed contract because we’ve never needed one. Isn’t it customary to give at least 3 months notice? Also, the new manager is offering to let us keep our commissions on any engagements that are “contracted.” What does that mean? Everyone knows that engagements are often confirmed without their being contracts! Help! Actually, you’ve always needed a signed contract. You just didn’t realize you needed one until now. A contract is your opportunity to memorialize all the terms of a relationship…including how to get out of one. An artist/manager relationship is like a marriage and, when it ends, it’s like a divorce—all too often a bitter and nasty divorce. If there is no pre-nuptial agreement, then any disputes will be resolved by the application of legal rules and concepts. In these situations, such rules are quite basic: what you didn’t negotiate for in advance, you don’t get! Many in our industry like to believe that there exists a magic book of customs, traditions, and rules which govern everything from artist-manager relationships to engagement cancellations, and that, in the absence of a contract, this book will determine how everyone should behave. Nothing can be further from the truth. What may be “customary” for one person or situation may not be “customary” for another. Nor would you want it to be otherwise. The arts and entertainment industry is too diverse, too broad, and too delightfully fluid for that degree of uniformity. To the extent there exists a set of rules which govern relationships in the absence of a contract, such rules consist of the laws of contracts, agency, and a myriad of other legal concepts—all of which are fairly arbitrary and none of which will provide an outcome better than the parties could have devised for themselves through advanced contractual negotiation. Whether its exclusivity, the right to be reimbursed for expenses, the authority of the manager, or the calculation of the manager’s commissions, such issues need to be agreed upon…in advance…and memorialized in a written contract. If you want an artist to be required to give you three months notice before leaving your roster, that needs to be agreed upon and written down as well. (While an agreement does not have to be written to be enforceable, its very hard to prove the terms of any agreement without something in writing—especially when you’re in the midst of a bitter divorce when everyone’s memories will suddenly and conveniently become quite spotty.) In your case, without a written contract setting forth a specific length of time an artist is obligated to remain on your roster (ie: 1 year, 2 years, etc.) and without a requirement that the artist has to give you advance notice before terminating the agreement, then the artist can leave your roster whenever they want with no notice at all. As for the new manager’s offer to let you keep your commissions on any engagements that are “contracted”, this, too, is something that should and could have been defined in an artist management agreement. Otherwise, the definition of “contracted” will be the legal definition: a “contracted” engagement is one where there is an enforceable agreement (either written or oral), which means there has been an offer and an acceptance of that offer and the parties have agreed upon all key terms. While its true that engagements are often confirmed without their being contracts, a confirmation of an engagement may not necessarily constitute a “contracted” engagement. A “hold” may or may not be an enforceable contract. If the parties have agreed upon the date and the fee, it may not be “contracted” if there are other important issues that have not yet been agreed upon—ie: insurance, licensing, technical requirements, etc. In other words, what you consider to be “contracted” may or may not be what the law of contracts considers to be “contracted.” In the absence of a written agreement with defined terms and obligations, your best and most practical course of action is to accept that this is a bit of a mess and enter into a dialogue with your “former” artist and his or her new manager to come up with a mutually agreed upon list of “contracted” engagements on which you will receive your commissions. I can almost guarantee that such a list will have fewer dates that you believe is fair and more dates than your former artist and his/her manager believe is fair. However, if everyone believes they are giving up too much, its probably a fair settlement. Then, focus your time on getting agreements in place for your remaining artists. Commissioners Beware!

Dear Law & Disorder:

When a composer/songwriter is commissioned to write a song, who owns the copyright to the song? The commissioner or the writer? And for either party, when the other owns the copyright, what kind of controls and/or royalties does the holder have?

As with just about everything in the arts and entertainment industry, these are issues that should be negotiated between the parties. As there are no industry standards (I know I say that a lot, but its worth repeating…there are NO industry standards!), everything is up for grabs in terms of royalties, controls, ownership, etc.

Unfortunately, it’s not uncommon for the parties either not to have a commissioning agreement or for one party merely to “assume” that commissioning a work automatically conveys certain rights. Nothing could be further from the truth. In the absence of a written agreement, copyright law determines ownership and, in such cases, the law is quite simple: the mere act of payment does not convey any rights or ownership. The only exception would be if an employee is paid to create or write something for their employer or if there is a written “work-for-hire” agreement between the parties. Otherwise, the commissioning fee only pays for the artist’s services. Ownership of the underlying work, including all rights, remains with the author.

So, for example, if a commissioner agrees to pay a composer $10,000 to write a concerto, unless there is a specific agreement between the parties that the commission fee includes performance or recording rights, the commissioner is entitled to nothing other than the joy of knowing he or she has paid for beautiful music. If the commissioner also wants to own the song, or record or perform it, then those terms need to be specifically negotiated and agreed to between the parties. This does not necessarily mean that the commissioner is required to pay extra for such rights. Everything is negotiable. It’s perfectly acceptable, and quite common, to include certain performance or recording rights as part of the commission fee. Its also just as common for the composer to be entitled to royalties or other payments in addition to the commission fee. Even in a case where the commission fee includes an assignment of full ownership, the composer can still ask for royalties as well as reserve performance and recordings rights of their own.

In short, all rights must be specified. If you are commissioning music, know what you are paying for. If you are being commissioned, know what you are selling. Never assume!
